Terms of service.
Terms governing the supply, installation, commissioning and AMC of professional AV systems by Vector Verse Technologies. Last updated May 2026.
These terms apply to all services and supply provided by Vector Verse Technologies ("Vector Verse", "we", "us") to a customer ("you", "the Client"). Specific commercial terms — pricing, milestones, scope and SLA — are governed by the relevant signed quotation, purchase order, AMC contract or services agreement. Where those documents conflict with these general terms, the project-specific document prevails.
1. Nature of services
Vector Verse is an authorised system integrator supplying, installing and supporting professional audio-visual systems — including but not limited to LED video walls, LCD video walls, professional displays, interactive flat panels, video wall controllers, HDMI matrix switchers, retractable monitors and conference-room AV — for B2B customers in India. We are an authorised channel partner for the OEM brands we publish on our website at the time of contracting.
2. Quotations and orders
- Written quotations are valid for 30 days from the date of issue, unless stated otherwise on the quotation.
- Pricing assumes specified site conditions, scope and timeline. Material changes to any of these may require requotation.
- An order is binding on confirmation in writing (email is acceptable) and on receipt of agreed advance payment, where applicable.
- Specifications, model numbers and brands are confirmed at proposal stage from current OEM datasheets. We reserve the right to substitute equivalent models if an OEM discontinues or supersedes a SKU before delivery, with prior written notice.
3. Supply and delivery
- Lead times are indicative. We share best-effort timelines with each quote and update them on PO release.
- Risk passes to the Client on delivery to the Client's site or nominated location, except where Vector Verse explicitly retains responsibility through the install phase.
- Title to goods passes only after full payment is received in cleared funds.
- Goods are supplied with manufacturer warranty as published by the OEM; we facilitate warranty claims on the Client's behalf during the warranty period.
4. Installation and commissioning
- Installation work is carried out during agreed hours at the Client's site. The Client is responsible for ensuring safe site access, electrical and civil readiness, network availability and any necessary permits.
- Vector Verse provides a written commissioning sign-off at handover. Issues raised during a defined snag-list window after sign-off are addressed under the install warranty.
- Standard install warranty against workmanship defects is 12 months from sign-off, unless extended by AMC.
- Variations requested after commissioning sign-off are scoped and quoted separately.
5. AMC (Annual Maintenance Contract)
- AMC scope, response targets, periodic preventive visits, spare-stock policy and exclusions are governed by the signed AMC document.
- Standard AMC excludes consumables, accidental damage, wilful damage, water damage, modification by third parties and acts of God.
- AMC contracts are renewable annually unless terminated in writing by either party with the notice period specified in the AMC document.
6. Payment terms
- Payment milestones are deferred to the per-project quotation or contract — typically a confirmation advance, supply milestone payment, install milestone payment and post-commissioning balance.
- Invoices are payable within the timeframe stated on the invoice (usually within 15–30 days). Late payment may attract interest at the rate stated on the quotation or, if not stated, at a reasonable commercial rate.
- Goods and services tax (GST) and other applicable statutory levies are charged in addition to the quoted price at the rate prevailing on the date of invoice.
- Bank charges on outbound and inbound transfers are borne by the originating party.
7. Intellectual property
All trademarks, brand names, logos and product designs of OEMs (Samsung, LG, Panasonic, MAXHUB, Planar, Seada, Drita and others) are the property of their respective owners and are referenced under authorised partner status. Documents prepared by Vector Verse (drawings, BoQs, layouts, configuration files) remain our intellectual property unless explicitly transferred in writing as part of a signed agreement.
8. Confidentiality
Each party will keep confidential all non-public information shared by the other in the course of evaluating, contracting or executing a project. Confidentiality obligations survive termination of the engagement for a reasonable period (typically three years) or longer if required by law.
9. Limitation of liability
- Our total aggregate liability under any contract is limited to the value of the contract under which the claim arose.
- We are not liable for indirect, consequential, special or incidental losses, including loss of profit, loss of business, loss of data or loss of opportunity.
- Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct or any liability that cannot be limited under applicable Indian law.
10. Indemnity
Each party will indemnify the other against direct losses arising from its breach of these terms or the relevant project contract, subject always to clause 9 above.
11. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond reasonable control — including natural disasters, pandemics, government action, transport disruption, strikes and OEM supply-chain failures. The affected party will notify the other promptly and the parties will agree a reasonable extension or re-scope.
12. Governing law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of India. The courts at Bengaluru, Karnataka have exclusive jurisdiction to settle any dispute (subject to clause 13).
13. Dispute resolution
Before commencing court proceedings, the parties will attempt good-faith resolution through senior representatives. If unresolved within 30 days, disputes are referred to arbitration in Bengaluru under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually agreed. Arbitration proceedings will be conducted in English.

15. Updates
We may update these terms from time to time. Updates apply to engagements entered into after the "last updated" date. Existing contracts continue under the terms in force at the time of signing.
